This Singing Retreat Participation Agreement (the “Agreement”) sets forth the terms and conditions governing participation in the Profty Singing Retreat (the “Retreat”), organized by Profty LLC, a Delaware limited liability company (“Organizer,” “Profty,” “we,” or “us”). This Agreement is entered into between Profty LLC and the individual registering for the Retreat (“Participant” or “you”).
By completing the online registration form and submitting payment, you acknowledge that you have read, understood, and agree to be bound by all terms of this Agreement. If you do not agree to these terms, do not complete registration or submit payment.
This Agreement, together with the documents expressly referenced herein, constitutes the entire agreement between the parties with respect to the Retreat and supersedes all prior communications, representations, or agreements, whether written or oral. The Media Release Form is a separate document and is not incorporated into this Agreement.
1. Retreat Overview & VenueThe Retreat is a seven (7) day immersive vocal training and performance experience held at Concept Hotel by COAF, located in Lori Province, Republic of Armenia (the “Venue”). The program runs from August 16 through August 22, 2026, inclusive. Participants will reside on-site in accommodations arranged by Profty LLC for the duration of the Retreat.
Profty LLC reserves the right to make reasonable modifications to the program, instructors, schedule, or venue arrangements where circumstances require, provided that the core nature and value of the Retreat are not materially diminished. In the event a comparable substitute venue is required, Profty LLC will use commercially reasonable efforts to maintain equivalent standards of accommodation and program delivery.
2. Eligibility & Age RequirementParticipation in the Retreat is open to individuals who are eighteen (18) years of age or older at the time of the Retreat. By completing registration, you represent and warrant that you meet this age requirement. Profty LLC reserves the right to request proof of age and to refuse or cancel registration for any individual who does not meet this requirement.
In the event of cancellation due to failure to meet eligibility requirements, the refund policy set forth in Section 11 shall apply.
3. Accommodation & MealsThe Retreat fee is all-inclusive and covers the following for the duration of the program:
• On-site accommodation at Concept Hotel by COAF in private or shared rooms, as selected by Participant during registration, with linens and towels provided;
• Three (3) meals per day: breakfast, lunch, and dinner;
• Non-alcoholic beverages served with meals;
• All scheduled Retreat activities, sessions, and events as described in the program.
The Retreat fee does not include international or domestic travel to and from the Venue, ground transfers (unless expressly stated by Profty LLC in writing), personal expenses, alcoholic beverages, spa or wellness services, tips, travel insurance, visa fees, or any other expense not expressly listed above.
Dietary RequirementsParticipants must disclose any food allergies, intolerances, or dietary restrictions at the time of registration. Profty LLC will use commercially reasonable efforts to communicate disclosed dietary needs to the Venue. However, Profty LLC cannot guarantee a fully allergen-free environment, as meals are prepared in a shared kitchen using locally sourced ingredients. Participants with severe allergies are responsible for consulting their physician prior to registering, carrying any necessary medications (including epinephrine auto-injectors), and informing on-site staff of their condition upon arrival.
4. Identification & Guest Registration RequirementsPursuant to applicable laws of the Republic of Armenia governing the registration of foreign nationals at accommodation establishments, all guests residing at the Venue are required to present a valid travel document (passport or, where permitted by law, national identification document) upon arrival, and the Venue is required to record and transmit guest information to the relevant Armenian authorities.
Accordingly, all Participants are required to submit a clear copy of a valid government-issued photo identification document (passport preferred) as part of the registration process, and to present the original document upon arrival at the Venue. Personal data collected for this purpose will be used solely for the purposes of Armenian legal compliance and operational check-in, and will be handled in accordance with Section 8 (Data Protection & Privacy).
Profty LLC reserves the right to deny participation, or to require departure from the Venue, for any individual who fails to provide valid identification. In such cases, the refund policy in Section 11 shall apply, and no refund of any travel, accommodation, or other costs incurred by the Participant shall be due.
5. Travel, Visas, Vaccinations & InsuranceA. Travel & VisasEach Participant is solely responsible, at their own cost, for: (i) obtaining all travel documents required to enter, remain in, and depart from the Republic of Armenia, including any visa, electronic travel authorization, or invitation letter; (ii) ensuring that their passport meets the validity requirements imposed by Armenian immigration authorities; (iii) arranging all international and domestic travel to and from the Venue; and (iv) complying with all applicable health, customs, and immigration regulations.
Profty LLC makes no representation regarding visa eligibility or processing times for any Participant. Denial of entry into Armenia, delays in visa issuance, missed flights, or any other travel disruption shall not entitle the Participant to a refund.
B. Vaccinations & Health RequirementsEach Participant is responsible for consulting with a qualified healthcare professional regarding any recommended or required vaccinations or health precautions for travel to Armenia, and for complying with any health entry requirements that may be in effect at the time of travel.
C. Mandatory Travel InsuranceEach Participant is required to obtain, prior to the start of the Retreat and at their own cost, comprehensive travel insurance that includes, at a minimum: (a) trip cancellation and interruption coverage; (b) emergency medical and hospitalization coverage valid in Armenia, including medical evacuation; (c) personal property coverage; and (d) coverage for travel delays. Profty LLC may request proof of valid insurance prior to arrival. Failure to obtain such insurance is at the Participant’s sole risk.
6. Personal Freedom & Off-Site ActivityNothing in this Agreement restricts the Participant’s freedom of movement. Participants are free to leave the Venue at any time during the Retreat.
Participants who choose to leave the Venue premises do so independently and outside the scope of the Retreat program. Profty LLC, its officers, instructors, employees, agents, and partners assume no responsibility for the personal safety, health, transportation, or logistics of any Participant while off-site. Participants engage in any off-site activity entirely at their own risk.
Participants who miss scheduled sessions due to off-site activity, illness, or any other reason will not be entitled to any refund, credit, or makeup sessions for missed programming.
7. Schedule & AttendanceA full Retreat schedule will be provided to confirmed Participants at least two (2) weeks prior to the Retreat start date. The program includes, but is not limited to, group vocal training sessions, individual feedback, performance evenings, and community activities.
Participants are expected to attend all scheduled sessions. Absences for medical reasons are understood; Participants should notify Organizer staff as promptly as possible in such cases. Profty LLC and its instructors reserve the right to modify the schedule, session order, or specific activities as needed to best serve the group’s development. Material changes to the overall program structure will be communicated to Participants in advance wherever practicable.
8. Photo & Video — Separate Consent RequiredPhotography and video recording will take place throughout the Retreat for documentation, educational, and promotional purposes, including potential use on Profty LLC’s website, social media channels, marketing materials, and future event promotions.
A. Participants Who Consent to Media UseParticipants who wish to grant Profty LLC the right to use their image, voice, and likeness in such materials must provide separate, explicit written consent by completing the Media Release Form, which is provided as a standalone document at registration. This consent is entirely voluntary and is not a condition of participation in the Retreat.
Participants who provide consent may withdraw it at any time by submitting written notice to Profty LLC at legal@profty.com. Withdrawal of consent will apply to future uses of media; it does not require removal of content already published in good faith prior to the date of withdrawal.
B. Participants Who Do Not ConsentParticipants who do not wish to be photographed or recorded must notify Profty LLC in writing at legal@profty.com no later than fourteen (14) days before the Retreat start date. Profty LLC will use reasonable efforts to honor such requests, though incidental capture of individuals in group settings cannot always be avoided.
C. Participant RecordingsParticipants may record their own individual sessions for personal, non-commercial use only. Recording or photographing other Participants without their express prior consent, or sharing such recordings publicly, is strictly prohibited and may result in dismissal under Section 12 (Code of Conduct).
Note: Profty LLC’s media consent is governed by a separate Media Release Form and is not incorporated into this Agreement. Acceptance of this Agreement does not constitute consent to media use by Profty LLC.
9. Data Protection & PrivacyProfty LLC collects, processes, and stores personal information provided by Participants (including name, contact details, payment information, identification documents, health and dietary information, and emergency contact details) for the purposes of administering the Retreat, complying with legal obligations (including Armenian guest-registration requirements), and, where separately consented to, for marketing and promotional communications.
All personal data is handled in accordance with Profty LLC’s Privacy Policy, available at profty.com/privacy-policy, and applicable data protection law. Where Participants are residents of jurisdictions with additional data protection rights (including the European Economic Area, the United Kingdom, or U.S. states with comprehensive privacy statutes), Profty LLC will honor verified requests made under applicable law, including rights of access, correction, deletion, and portability of personal data, subject to legal retention obligations.
Identification documents and registration data collected for Armenian legal compliance purposes will be retained for the period required by applicable Armenian law and then securely destroyed. Such data will not be used for any other purpose.
10. Intellectual Property & ConfidentialityA. Profty MaterialsAll curricula, teaching materials, exercises, methodologies, recordings produced by Profty LLC or its instructors, written handouts, and other content provided to Participants in connection with the Retreat (collectively, “Profty Materials”) are the exclusive intellectual property of Profty LLC or its licensors. Participants are granted a limited, personal, non-transferable, non-sublicensable license to use Profty Materials solely for their own personal, non-commercial educational purposes. Reproduction, redistribution, public performance, commercial use, or use in instructing third parties is strictly prohibited without Profty LLC’s prior written consent.
B. ConfidentialityParticipants acknowledge that vocal training is a personal and at times emotionally exposing process. Each Participant agrees to treat as confidential any personal information, performance content, or vulnerable disclosures shared by other Participants during the Retreat, and not to publish, disclose, or use such information outside of the Retreat without the affected individual’s express consent.
11. Assumption of Risk, Indemnification & Limitation of LiabilityA. Assumption of RiskParticipation in the Retreat involves physical and vocal activities, including but not limited to singing exercises, breath work, movement-based sessions, and performance, in a venue located in a mountainous region of Armenia. Participants acknowledge that travel and these activities carry inherent risks.
By registering, each Participant represents and warrants that:
• They are in good physical and vocal health and know of no medical, vocal, respiratory, cardiovascular, or psychological condition that would prevent safe participation in a vocal training program at the elevation and climate of the Venue;
• They have consulted with a qualified physician if they have any known medical condition that may affect their ability to participate safely;
• They assume full personal responsibility for their physical, vocal, and emotional wellbeing during the Retreat.
B. Personal PropertyProfty LLC is not responsible for the loss of, theft of, or damage to any personal property of Participants, including but not limited to luggage, electronics, instruments, jewelry, cash, or travel documents. Participants are responsible for safeguarding their own belongings, including by use of in-room safes where provided.
C. Indemnification by ParticipantEach Participant agrees to indemnify, defend, and hold harmless Profty LLC, its officers, instructors, employees, agents, partners, and the Venue (collectively, the “Indemnified Parties”) from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) the Participant’s breach of this Agreement; (ii) the Participant’s violation of any law or third-party right; (iii) damage caused by the Participant to Venue property or property of any third party; or (iv) the Participant’s negligent or intentional acts or omissions during the Retreat.
D. Limitation of LiabilityTO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, the Indemnified Parties shall not be liable for any loss, injury, illness, emotional distress, or damage of any nature (including property loss, loss of use, lost profits, or any indirect, incidental, consequential, special, or punitive damages) sustained by a Participant during or in connection with the Retreat, except to the extent that such loss or damage is caused directly by the gross negligence or willful misconduct of Profty LLC or its employees.
In any event, the aggregate liability of Profty LLC to any Participant arising out of or in connection with this Agreement or the Retreat shall not exceed the total amount actually paid by that Participant to Profty LLC under this Agreement.Nothing in this Agreement excludes or limits any liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.
12. Code of ConductAll Participants are expected to conduct themselves with respect and professionalism toward fellow Participants, instructors, Profty LLC staff, and Venue personnel at all times.
The following conduct is prohibited and may result in immediate dismissal from the Retreat without refund and without reimbursement of any travel or related costs:
• Harassment, discrimination, bullying, or intimidation of any person, in any form, including on the basis of race, ethnicity, national origin, religion, gender, sexual orientation, gender identity, age, disability, or any other protected characteristic;
• Behavior that disrupts the learning environment or threatens the safety or wellbeing of others;
• Damage to or misuse of Venue property, equipment, or grounds;
• Possession or use of illegal substances;
• Consumption of alcohol in a manner that is disruptive or that endangers the Participant or others;
• Bringing or hosting unauthorized guests at the Venue without prior written approval from Profty LLC;
• Unauthorized recording or distribution of other Participants in violation of Section 8(C);
• Violation of Venue house rules as communicated to Participants prior to or during the Retreat.
Profty LLC reserves the sole and reasonable discretion to determine what constitutes a violation of this Code of Conduct. Where dismissal occurs, no refund of any paid fees will be issued, and the Participant shall be responsible for their own onward travel and accommodation.
13. Cancellation & Refund PolicyA. Cancellation by ParticipantDue to limited enrollment capacity and the advance costs incurred by Profty LLC in planning, contracting, and reserving the Retreat, all payments made by Participants are non-refundable in the event of voluntary cancellation or withdrawal, regardless of the reason, including (without limitation) personal circumstances, illness, injury, work commitments, family circumstances, travel disruption, denial of entry into Armenia, visa denial or delay, change of plans, or change of mind.
This non-refundable policy is a material term of this Agreement. By registering and submitting payment, Participant explicitly acknowledges and accepts this term. Participants are required to maintain comprehensive travel insurance, including trip cancellation coverage, pursuant to Section 5(C).
Profty LLC may, at its sole discretion and without obligation, offer a credit toward a future Profty event in lieu of a refund in exceptional circumstances. Any such credit is a courtesy, not an entitlement, and does not modify this policy.
B. Substitution of ParticipantParticipants may request to transfer their registration to another eligible individual by submitting written notice to Profty LLC no later than thirty (30) days prior to the Retreat start date. Any such substitution is subject to Profty LLC’s prior written approval, completion by the substitute participant of this Agreement and all registration documents, and payment of any administrative fee that Profty LLC may reasonably impose.
C. Cancellation by Profty LLCIf Profty LLC cancels the Retreat for any reason other than a Force Majeure Event (see Section 13(D)), all Participants will receive a full refund of fees paid to Profty LLC within thirty (30) calendar days of the cancellation notice. Profty LLC shall have no further liability to Participants for any consequential costs including, without limitation, non-refundable travel bookings, accommodation, visa fees, or other expenses incurred in preparation for the Retreat. This further underscores the importance of obtaining travel insurance pursuant to Section 5(C).
D. Force MajeureProfty LLC shall not be in breach of this Agreement, and shall not be liable for any delay or failure to perform its obligations, where such delay or failure results from circumstances beyond its reasonable control, including but not limited to: acts of God; pandemic, epidemic, or public health emergency; natural disaster, including earthquake; war, armed conflict, civil unrest, or hostilities affecting Armenia or its border regions; act of terrorism; government action, sanction, border closure, or travel restriction; venue inaccessibility or destruction; failure of essential services; or any other event commonly considered force majeure under applicable law (“Force Majeure Event”).
In the event of a Force Majeure Event that prevents the Retreat from taking place as scheduled, Profty LLC will use commercially reasonable efforts to reschedule the Retreat to a later date within twelve (12) months. If rescheduling is not practicable, Profty LLC will issue a credit toward a future event or, at its discretion, a partial or full refund, taking into account costs already committed and unrecoverable by Profty LLC. In no event shall any refund or credit exceed the amount actually paid by the Participant under this Agreement, less unrecoverable costs allocable to that Participant. Profty LLC will communicate with Participants promptly and transparently in any Force Majeure situation.
14. Payment TermsAll fees are payable in Euros (EUR) unless Profty LLC expressly agrees otherwise in writing. Bank charges, currency conversion fees, and similar transaction costs are the responsibility of the Participant.
A. Single PaymentParticipants electing the single-payment option must pay the full Retreat fee at the time of registration to confirm their spot.
B. Flexible Payment PlanParticipants who elect the flexible payment option agree to the following schedule (all installments equal in amount, one-third of the total Retreat fee):
• First installment: due at time of registration (required to confirm spot);
• Second installment: due by June 30, 2026;
• Third installment: due by July 31, 2026.
Participants who register after a scheduled installment date shall, at Profty LLC’s discretion, pay any then-overdue installments together with the first installment at the time of registration. Failure to submit any installment by its due date may result in forfeiture of the Participant’s spot, at Profty LLC’s discretion, without refund of previously paid installments. Profty LLC will provide reasonable notice and a cure period of no less than seven (7) calendar days before exercising this right.
15. Governing Law & Dispute ResolutionThis Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws provisions, except where mandatory consumer protection or other mandatory law of the Participant’s domicile requires otherwise.
A. Informal ResolutionIn the event of any dispute, claim, or controversy arising out of or relating to this Agreement or the Retreat (“Dispute”), the parties agree to first attempt to resolve the matter informally by written notice to legal@profty.com, allowing thirty (30) days to respond and attempt good-faith resolution.
B. Binding ArbitrationIf informal resolution is unsuccessful, any Dispute shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in English. The seat of arbitration shall be Wilmington, Delaware, USA. Where permitted by the AAA rules and feasible given the amount in controversy, the proceedings may be conducted virtually. The arbitrator’s decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
Nothing in this Section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction where necessary to prevent irreparable harm.
C. Class Action WaiverTo the fullest extent permitted by applicable law, all Disputes shall be brought in the parties’ individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.
D. Statutory Consumer RightsMandatory consumer protection rights afforded to Participants under applicable law, including residents of the European Union, European Economic Area, or United Kingdom, are not waived by this Agreement. EU/EEA/UK Participants who believe their statutory rights have been violated may contact their national consumer protection authority or, where applicable, the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
16. General ProvisionsA. NoticesAll notices to Profty LLC under this Agreement shall be sent to legal@profty.com. Notices to the Participant shall be sent to the email address provided in the registration form. Notices are deemed delivered on the next business day following transmission.
B. Electronic SignatureThe parties agree that this Agreement may be accepted electronically through the registration process, and that such electronic acceptance constitutes a valid, binding, and enforceable signature under applicable electronic signature laws, including the U.S. E-SIGN Act and the Uniform Electronic Transactions Act.
C. SeverabilityIf any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.
D. No WaiverThe failure of Profty LLC to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
E. AssignmentThe Participant may not assign or transfer this Agreement or any rights or obligations hereunder, except as expressly permitted under Section 13(B). Profty LLC may assign this Agreement to any successor or affiliate without consent.
F. Relationship of the PartiesNothing in this Agreement creates any agency, partnership, joint venture, or employment relationship between Profty LLC and the Participant.
G. SurvivalProvisions of this Agreement which by their nature should survive termination or completion of the Retreat shall so survive, including without limitation Sections 9 (Data Protection), 10 (Intellectual Property & Confidentiality), 11 (Limitation of Liability & Indemnification), 13 (Cancellation), 15 (Governing Law & Dispute Resolution), and this Section 16.
H. LanguageThis Agreement is executed in the English language. Any translation provided is for convenience only; the English version shall govern in case of any conflict.
17. Acknowledgment & AcceptanceBy completing the Profty Singing Retreat registration form and submitting payment, the Participant confirms the following:
• I am eighteen (18) years of age or older.
• I have read this Agreement in full and understand its terms, including the non-refundable payment policy (Section 13), the mandatory travel insurance requirement (Section 5), the limitation of liability (Section 11), and the binding arbitration and class action waiver (Section 15).
• I have provided accurate personal information, including a valid government-issued identification document.
• I am solely responsible for my travel arrangements, visa, and entry into the Republic of Armenia.
• I understand that my consent to photography and video use by Profty LLC is governed separately by the Media Release Form and is not required as a condition of participation.
• I voluntarily choose to participate in the Retreat and accept the terms of this Agreement.
