This Singing Retreat Participation Agreement (the "Agreement") sets forth the terms and conditions governing participation in the Profty Singing Retreat (the "Retreat"), organized by Profty LLC, a Delaware limited liability company ("Organizer," "we," or "us"). This Agreement is entered into between Profty LLC and the individual registering for the Retreat ("Participant" or "you").
By completing the online registration form and submitting payment, you acknowledge that you have read, understood, and agree to be bound by all terms of this Agreement. If you do not agree to these terms, do not complete registration or submit payment.
This Agreement constitutes the entire agreement between the parties with respect to the Retreat and supersedes all prior communications, representations, or agreements, whether written or oral.
1. Retreat Overview & VenueThe Retreat is a seven (7) day immersive vocal training and performance experience held at Poggio Ubertini, a private estate in Tuscany, Italy (the "Venue"). The program runs from June 8 through June 14, 2026. Participants will reside on-site in accommodations arranged by Profty LLC for the duration of the Retreat.
Profty LLC reserves the right to make reasonable modifications to the program, instructors, schedule, or venue arrangements where circumstances require, provided that the core nature and value of the Retreat are not materially diminished.
2. Eligibility & Age RequirementParticipation in the Retreat is open to individuals who are eighteen (18) years of age or older at the time of the Retreat. By completing registration, you represent and warrant that you meet this age requirement. Profty LLC reserves the right to request proof of age and to refuse or cancel registration for any individual who does not meet this requirement.
In the event of cancellation due to failure to meet eligibility requirements, the refund policy set forth in Section 9 shall apply.
3. Accommodation & MealsThe Retreat fee is all-inclusive and covers the following for the duration of the program:
• On-site accommodation at Poggio Ubertini in private or shared rooms, as selected by Participant during registration, with linens and towels provided
• Three (3) meals per day: breakfast, lunch, and dinner
• Local wines and non-alcoholic beverages served with meals
• All scheduled Retreat activities, sessions, and events as described in the program
Dietary Requirements: Participants must disclose any food allergies, intolerances, or dietary restrictions at the time of registration. Profty LLC will make commercially reasonable efforts to accommodate disclosed dietary needs. However, Profty LLC cannot guarantee a fully allergen-free environment, as meals are prepared in a shared kitchen using locally sourced ingredients. Participants with severe allergies are encouraged to consult their physician prior to registering and to carry any necessary medications (including epinephrine auto-injectors) at their own responsibility.
4. Identification RequirementsIn compliance with Italian law (Decreto Legislativo n. 286/1998 and related regulations), all persons residing at a private accommodation venue in Italy are required to register with local authorities using a valid government-issued identification document.
Accordingly, all Participants are required to submit a copy of a valid government-issued photo identification document (passport preferred; national ID accepted) as part of the registration process. This information will be used solely for the purposes of Italian legal compliance and will be handled in accordance with our Privacy Policy and applicable data protection law.
Profty LLC reserves the right to deny participation to any individual who fails to provide valid identification prior to the Retreat. In such cases, the refund policy in Section 9 shall apply.
5. Personal Freedom & Off-Site ActivityNothing in this Agreement restricts the Participant's freedom of movement. Participants are free to leave the Poggio Ubertini estate at any time during the Retreat.
Participants who choose to leave the premises do so independently and outside the scope of the Retreat program. Profty LLC, its instructors, staff, and partners assume no responsibility for the personal safety, health, transportation, or logistics of any Participant while off-site. Participants engage in any off-site activity entirely at their own risk.
Participants who miss scheduled sessions due to off-site activity will not be entitled to any refund, credit, or makeup sessions for missed programming.
6. Schedule & AttendanceA full Retreat schedule will be provided to confirmed Participants at least two (2) weeks prior to the Retreat start date. The program includes, but is not limited to, group vocal training sessions, individual feedback, performance evenings, and community activities.
Participants are expected to attend all scheduled sessions. Absences for medical reasons are understood; Participants should notify Organizer staff as promptly as possible in such cases. Profty LLC and its instructors reserve the right to modify the schedule, session order, or specific activities as needed to best serve the group's development. Material changes to the overall program structure will be communicated to Participants in advance wherever practicable.
7. Photo & Video — Separate Consent RequiredPhotography and video recording will take place throughout the Retreat for documentation, educational, and promotional purposes, including use on Profty LLC's website, social media channels, marketing materials, and future event promotions.
A. PARTICIPANTS WHO CONSENT TO MEDIA USEParticipants who wish to grant Profty LLC the right to use their image and likeness in such materials must provide separate, explicit written consent by completing the Media Release Form, which is provided as a standalone document at registration. This consent is entirely voluntary and is not a condition of participation in the Retreat.
Participants who provide consent may withdraw it at any time by submitting written notice to Profty LLC at legal@profty.com. Withdrawal of consent will apply to future uses of media; it does not require removal of content already published in good faith prior to the date of withdrawal.
B. PARTICIPANTS WHO DO NOT CONSENTParticipants who do not wish to be photographed or recorded must notify Profty LLC in writing at legal@profty.com no later than fourteen (14) days before the Retreat start date. Profty LLC will use reasonable efforts to honor such requests, though incidental capture of individuals in group settings cannot always be avoided.
Note: Media consent is governed by a separate Media Release Form and is not incorporated into this Agreement. Acceptance of this Agreement does not constitute consent to media use.8. Data Protection & PrivacyProfty LLC collects, processes, and stores personal information provided by Participants (including name, email address, payment information, identification documents, and dietary information) for the purposes of administering the Retreat, complying with legal obligations, and, where separately consented to, for marketing and promotional communications.
All personal data is handled in accordance with Profty LLC's Privacy Policy, available at profty.com/privacy-policy, and applicable U.S. federal and state privacy laws. Where Participants are residents of jurisdictions with additional data protection rights (including the European Economic Area or the United Kingdom), Profty LLC will honor requests made under applicable law, including access, correction, deletion, and portability of personal data, subject to any legal retention obligations.
Identification documents collected for Italian legal compliance purposes will be securely retained for the period required by Italian law and then destroyed. They will not be used for any other purpose.
9. Limitation of Liability & Assumption of RiskParticipation in the Retreat involves physical and vocal activities, including but not limited to singing exercises, movement-based sessions, and performance. Participants acknowledge that these activities carry inherent risks.
By registering, each Participant represents and warrants that:
• They are in good physical and vocal health and know of no medical condition that would prevent safe participation in a vocal training program;
• They have consulted with a qualified physician if they have any known medical conditions affecting their voice, respiratory system, or general health;
• They assume full personal responsibility for their physical and emotional wellbeing during the Retreat.
To the fullest extent permitted by applicable law, Profty LLC, its officers, instructors, employees, agents, and partners shall not be liable for any loss, injury, illness, or damage of any nature (including property loss) sustained by a Participant during or in connection with the Retreat, except to the extent that such loss or damage is caused directly and solely by the gross negligence or willful misconduct of Profty LLC or its employees.
Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.
Participants are strongly encouraged to obtain comprehensive travel insurance prior to the Retreat, covering trip cancellation, medical emergencies, evacuation, and personal property loss. Profty LLC is not responsible for any costs incurred in connection with travel to or from the Retreat.
10. Code of ConductAll Participants are expected to conduct themselves with respect and professionalism toward fellow Participants, instructors, Profty LLC staff, and Venue personnel at all times.
The following conduct is prohibited and may result in immediate dismissal from the Retreat without refund:
• Harassment, discrimination, bullying, or intimidation of any person, in any form
• Behavior that disrupts the learning environment or threatens the safety or wellbeing of others
• Damage to or misuse of Venue property
• Possession or use of illegal substances
• Consumption of alcohol in a manner that is disruptive or that endangers the Participant or others
• Violation of Venue house rules as communicated to Participants prior to or during the Retreat
Profty LLC reserves the sole and reasonable discretion to determine what constitutes a violation of this Code of Conduct. Where dismissal occurs, no refund of any paid fees will be issued.
11. Cancellation & Refund PolicyA. CANCELLATION BY PARTICIPANTDue to the limited enrollment capacity (maximum thirty (30) Participants) and the advance costs incurred by Profty LLC in planning and contracting the Retreat, all payments made by Participants are non-refundable in the event of voluntary cancellation or withdrawal, regardless of the reason, including personal circumstances, illness, travel disruption, or change of plans.
This non-refundable policy is a material term of this Agreement. By registering and submitting payment, Participant explicitly acknowledges and accepts this term. Participants are strongly advised to purchase comprehensive travel insurance that includes trip cancellation coverage prior to completing registration.
Profty LLC may, at its sole discretion and without obligation, offer a credit toward a future Profty event in lieu of a refund in exceptional circumstances. Any such credit is a courtesy, not an entitlement, and does not modify this policy.
B. CANCELLATION BY PROFTY LLCIf Profty LLC cancels the Retreat for any reason, all Participants will receive a full refund of fees paid to Profty LLC within thirty (30) calendar days of the cancellation notice. Profty LLC shall have no further liability to Participants for any consequential costs including, without limitation, non-refundable travel bookings, accommodation, or other expenses incurred in preparation for the Retreat. This further underscores the importance of obtaining travel insurance.
C. FORCE MAJEUREProfty LLC shall not be in breach of this Agreement, and shall not be liable for any delay or failure to perform its obligations, where such delay or failure results from circumstances beyond its reasonable control, including but not limited to: acts of God, pandemic or public health emergency, natural disaster, government action or travel restriction, war, civil unrest, labor disputes, venue inaccessibility, or failure of essential services ("Force Majeure Event").
In the event of a Force Majeure Event that prevents the Retreat from taking place as scheduled, Profty LLC will use commercially reasonable efforts to reschedule the Retreat to a later date. If rescheduling is not practicable within twelve (12) months, Profty LLC will issue a credit toward a future event or, at its discretion, a partial or full refund, taking into account costs already committed and unrecoverable. Profty LLC will communicate with Participants promptly and transparently in any Force Majeure situation.
12. Flexible Payment PlanParticipants who elect the flexible payment option agree to the following schedule:
• First installment: due at time of registration (required to confirm spot)
• Second installment: due by March 1, 2026
• Third installment: due by May 15, 2026
All three installments are equal in amount (one-third of the total participation fee). Failure to submit any installment by its due date may result in forfeiture of the Participant's spot, at Profty LLC's discretion, without refund of previously paid installments. Profty LLC will provide reasonable notice and an opportunity to cure a missed payment before exercising this right.
13. Governing Law & Dispute ResolutionThis Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws provisions.
INFORMAL RESOLUTIONIn the event of any dispute, claim, or controversy arising out of or relating to this Agreement or the Retreat, the parties agree to first attempt to resolve the matter informally by written notice to the other party, allowing thirty (30) days to respond and attempt good-faith resolution.
BINDING ARBITRATIONIf informal resolution is unsuccessful, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in English. The seat of arbitration shall be Wilmington, Delaware. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction where necessary to prevent irreparable harm.
Note to Participants in the European Union: Mandatory consumer protection rights afforded to EU residents under applicable EU law are not waived by this Agreement. EU Participants who believe their statutory rights have been violated may contact their national consumer protection authority or the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.14. Acknowledgment & AcceptanceBy completing the Profty Singing Retreat registration form and submitting payment, the Participant confirms the following:
• I am eighteen (18) years of age or older.
• I have read this Agreement in full and understand its terms, including the non-refundable payment policy, the limitation of liability, and the dispute resolution clause.
• I have provided accurate personal information, including a valid government-issued identification document.
• I understand that my consent to photography and video use is governed separately by the Media Release Form and is not required as a condition of participation.
• I voluntarily choose to participate in the Retreat and accept the terms of this Agreement.
